The captable (also called capitalisation table) lists all the company’s securities such as common shares and preferred shares, who owns them, and the prices paid by the investors for these securities. It indicates each investor’s percentage of ownership in the company, the value of their securities, and dilution over time. Let’s say the venture has the following basic cap table:

We will enter all this information into Venturelytic using the following steps:

Add Shareholder

First, click on Add Shareholder (1). It is important to note that a requirement to add a shareholder is that there is an existing Account or Fund for that shareholder.

Either select Shareholder Account (in case you want to add an external shareholder) or Shareholder Fund (in case you want to add your own fund as a shareholder). If you haven’t created an account or fund for the specific shareholder yet, you can do so by clicking on the search bar where you will see New Account or New Fund


Repeat this for all the shareholders and you should see the following:

Create Share Class

Once all the shareholders have been added, you can start creating the share classes. 


Click on Create Share Class (2). Note that in the table above we have three different share classes, so these will be added next. You will see the following pop-up window:

Repeat this for all the share classes and you should see the following:

Issue Shares

Once you have created all the equity classes of the company, you can then begin to issue these to the shareholders. If you haven’t added your buying shareholders or share classes yet, you can simply add them directly from the Issue Shares screen, or follow the previous steps as described above.


Click on Issue Shares. On the Issue Shares screen below, you will need to add key information in accordance with the issuance details:

After you have entered in all the details and issued equity to all your shareholders, your cap table should now be complete. You will be able to view a summary or detailed overview of the cap table, as seen below:

Transfer Shares

After every equity transaction that takes place within this venture account, you can simple register the latest event. If existing shareholders sold part of their shares to another shareholders, Venturelytic allows you register this transaction, by following these steps: 

  1. Click on an individual Shareholder

  2. Navigate to the Related button

  3. Click on the Holding of interest

  4. Click on the “Transfer Shares” button on the top right

  5. Select the Buying Shareholder and fill out the details of the transaction.


Once you navigate back to the Captable page, you’ll see that the shares held by each Shareholder changed accordingly, and you successfully registered the transaction. You can always find this transaction back under Share Activities.
